Terms of Sale

Sold by XenoStep AI LLC. XenoStep AI LLC is the Merchant of Record and seller for purchases made through this checkout or customer-facing sales flow.

1. Parties

1.1 Seller

1.1.1 XenoStep AI LLC is the Merchant of Record, seller, billing support provider, and refund handler for each sale covered by these Terms of Sale.

1.1.2 When a Customer buys a Product or Service, the Customer contracts with XenoStep AI LLC only for the purchase transaction.

1.1.3 Customer-facing purchase surfaces should identify the sale as: Sold by XenoStep AI LLC.

1.2 Supplier

1.2.1 The Supplier is the product provider only. The Supplier is not the seller for the purchase transaction covered by these Terms of Sale.

1.2.2 XenoStep AI LLC may resell, distribute, or make available Supplier products under separate supplier arrangements.

1.2.3 The Supplier may operate the software, content, support resources, or service environment connected to the Product or Service, but the sales contract remains between the Customer and XenoStep AI LLC.

1.3 Customer

1.3.1 The Customer is the person or entity that purchases, subscribes to, or accesses a Product or Service through XenoStep AI LLC.

1.3.2 A person completing a purchase for an organization represents that the person has authority to bind that organization.

2. Products and Services

2.1 Description

2.1.1 Products and Services may include software subscriptions, digital products, access rights, usage-based services, support plans, or related online services.

2.1.2 Product descriptions, feature lists, plans, and service limits are shown at checkout, in the product page, in the order confirmation, or in the customer account area.

2.2 Availability

2.2.1 Products and Services may depend on supplier systems, hosting providers, payment providers, identity providers, internet access, and other third-party services.

2.2.2 XenoStep AI LLC may refuse, suspend, or cancel a purchase when required by law, risk controls, payment network rules, sanctions restrictions, fraud controls, or these Terms of Sale.

2.3 Modifications

2.3.1 Product features, service availability, plans, and technical requirements may change over time.

2.3.2 XenoStep AI LLC will provide notice when a material change affects an active paid subscription and notice is required by applicable law or these Terms of Sale.

3. Pricing and Payment

3.1 Currency and Price Display

3.1.1 Prices are displayed and charged in United States dollars unless the checkout states another supported currency.

3.1.2 The price shown at checkout is the price for the selected Product or Service before taxes, unless checkout states that taxes are included.

3.2 Payment Processing

3.2.1 Stripe processes payments for XenoStep AI LLC.

3.2.2 Customers authorize XenoStep AI LLC and its payment processor to charge the selected payment method for the order total, applicable taxes, renewal charges, and other amounts disclosed before purchase.

3.2.3 XenoStep AI LLC does not receive full card numbers from Stripe.

3.3 Taxes

3.3.1 Taxes may include sales tax, VAT, GST, use tax, or similar transaction taxes.

3.3.2 Stripe Tax may calculate taxes based on Customer location, product tax category, tax registration status, and other checkout information.

3.3.3 Customers must provide accurate billing, tax, and exemption information.

3.4 Statement Descriptor

3.4.1 Card or bank statements may show the descriptor XENOSTEP*, XENOSTEP*PRODUCT, or a similar XenoStep descriptor allowed by the payment network.

3.4.2 Customers who do not recognize a charge should contact XenoStep AI LLC before filing a dispute.

4. Subscriptions

4.1 Billing Cycles

4.1.1 Subscription billing cycles may be monthly, annual, or another period disclosed before purchase.

4.1.2 The Customer will see the subscription price, billing cycle, renewal date or renewal timing, and cancellation method before completing the purchase.

4.2 Auto-Renewal

4.2.1 Subscriptions automatically renew at the end of each billing cycle unless canceled before renewal.

4.2.2 By purchasing a subscription, the Customer authorizes XenoStep AI LLC to charge the payment method on file for each renewal until cancellation.

4.3 Price Changes

4.3.1 XenoStep AI LLC will provide at least 30 days' advance notice before a price increase applies to an existing paid subscription.

4.3.2 The Customer may cancel before the new price takes effect.

5. Refunds

5.1 Refund Policy Controls

5.1.1 Refund eligibility is described in the Refund Policy.

5.1.2 XenoStep AI LLC processes all refunds for sales covered by these Terms of Sale.

5.1.3 The Supplier does not process refunds for these sales unless XenoStep AI LLC separately instructs the Customer in writing.

6. Chargebacks

6.1 Dispute Handling

6.1.1 XenoStep AI LLC handles payment disputes and chargebacks as the Merchant of Record.

6.1.2 XenoStep AI LLC may submit order records, billing records, access logs, refund communications, customer support records, and other evidence to the payment processor or card network.

6.2 Customer Cooperation

6.2.1 Customers must cooperate with reasonable information requests related to disputed charges.

6.2.2 A Customer should not file a chargeback for a charge that the Customer recognizes and that is eligible for review through XenoStep AI LLC support.

7. Intellectual Property

7.1 Supplier Rights

7.1.1 The Supplier and its licensors retain all intellectual property rights in the Product or Service, including software, content, trademarks, documentation, models, workflows, and data structures.

7.1.2 No ownership rights transfer to the Customer except the limited access or use rights stated in the applicable product terms.

7.2 XenoStep Resale Rights

7.2.1 XenoStep AI LLC has a resale, distribution, or commercialization license from the Supplier or another authorized source for the Products and Services it sells.

7.2.2 XenoStep AI LLC may use product names, descriptions, screenshots, marks, and materials as needed to sell, bill, support, and administer Customer transactions.

7.3 Customer License

7.3.1 Subject to payment and compliance with these Terms of Sale, the Customer receives the access rights stated in the product description or applicable end-user terms.

7.3.2 The Customer may not copy, resell, sublicense, reverse engineer, scrape, or misuse the Product or Service except as expressly allowed by the applicable product terms or law.

8. Prohibited Uses

8.1 Acceptable Use Policy

8.1.1 Customer use of Products and Services must follow the Acceptable Use Policy.

8.1.2 XenoStep AI LLC may suspend or terminate access for violations of the Acceptable Use Policy, these Terms of Sale, sanctions rules, payment network rules, or applicable law.

9. Disclaimers and Limitation of Liability

9.1 Disclaimers

9.1.1 Products and Services are provided on an as-is and as-available basis to the maximum extent allowed by law.

9.1.2 XenoStep AI LLC does not promise that a Product or Service will be uninterrupted, error-free, secure, compatible with every system, or suitable for every Customer purpose.

9.1.3 Any supplier-specific warranties, service commitments, or support commitments apply only if stated in the product terms or order documentation.

9.2 Limitation of Liability

9.2.1 To the maximum extent allowed by law, XenoStep AI LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill.

9.2.2 To the maximum extent allowed by law, XenoStep AI LLC's total liability for a claim related to a purchase will not exceed the amount the Customer paid to XenoStep AI LLC for the Product or Service giving rise to the claim during the three months before the event giving rise to liability.

9.2.3 Some jurisdictions do not allow certain exclusions or limits, so some limits may not apply to a Customer.

10. Governing Law

10.1 Delaware Law

10.1.1 These Terms of Sale and any purchase covered by them are governed by the laws of the State of Delaware, USA, without regard to conflict of law rules.

10.1.2 Mandatory consumer protection laws in a Customer's place of residence may apply when they cannot be waived by contract.

11. Dispute Resolution

11.1 Informal Resolution

11.1.1 Before starting arbitration, the Customer and XenoStep AI LLC will try to resolve the dispute informally by email.

11.1.2 A notice of dispute must describe the Customer's name, account email, order number if available, the issue, and the requested resolution.

11.2 Binding Arbitration

11.2.1 Any dispute arising from or relating to these Terms of Sale or a purchase will be resolved by binding arbitration administered by the American Arbitration Association under its applicable consumer or commercial arbitration rules.

11.2.2 The arbitration will be conducted in English, by a single arbitrator, and may take place by video conference or written submissions when allowed by the rules.

11.2.3 Either party may bring an individual claim in small claims court if the claim qualifies.

11.3 Class Action Waiver

11.3.1 Disputes must be brought only on an individual basis.

11.3.2 The Customer and XenoStep AI LLC waive the right to bring or participate in a class action, collective action, private attorney general action, or representative action to the maximum extent allowed by law.
